2. Description of Service

Shabe is a conversational layer across your business systems. What is available depends on the product you purchase:

• Shabe Identify provides read-only visibility and natural-language Q&A across connected systems (for example HubSpot, Salesforce, Google Workspace, and LinkedIn where supported).
• Shabe Action adds automation and agent-assisted operations where you enable them, subject to your permissions and approvals.
• Shabe Enterprise may include custom deployment, integrations, SLAs, and security measures as described in your order.
• AI-assisted summaries, predictions, and insights (outputs may be imperfect; you remain responsible for decisions)
• Role-based access, audit-friendly workflows, and controls aligned to your plan

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration & Security

To use the Service, you must:

• • Provide accurate, current, and complete information during registration
• • Maintain the security of your account credentials
• • Be at least 18 years of age and have the legal capacity to enter into contracts
• • Represent a legitimate business entity (for business accounts)
• • Notify us immediately of any unauthorized use of your account
• • Be responsible for all activities that occur under your account
• • Comply with all applicable laws and regulations

You may not share your account credentials, create multiple accounts, or allow others to use your account. We reserve the right to suspend or terminate accounts that violate these terms.

4. Subscription Plans & Billing

4.1 Plans & pricing

Public marketing pages describe current offers. Your order confirmation or checkout terms control for your account. Illustrative tiers:

• • Shabe Identify: one-time or lifetime license for read-only use, as offered at purchase
• • Shabe Action: recurring subscription with usage-based tiers as described at signup
• • Shabe Enterprise: custom pricing, statements of work, and order forms as agreed

4.2 Trials & pilots

We may offer free trials, pilots, or evaluations. When offered, duration, eligibility, and billing conversion terms are disclosed at signup or in your order.

4.3 Billing

• • Recurring plans are billed in advance on the cycle shown at purchase (e.g. monthly or annual)
• • One-time licenses (such as Identify, when sold that way) are charged once unless you purchase add-ons
• • All fees are in USD unless otherwise stated and are non-refundable except as required by law or your order
• • You authorize us to charge your payment method on file
• • Failed payments may result in service suspension
• • We may change pricing with reasonable notice; changes apply on renewal or as required by law
• • Taxes are your responsibility where applicable

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until then. No refunds are provided for partial months.

6. Data Ownership & Intellectual Property

6.1 Your Data

You retain all ownership rights to the data you input into Shabe ("Customer Data"). You grant us a limited license to use, store, and process your Customer Data solely to provide and improve the Service.

6.2 Our Intellectual Property

The Service, including all software, algorithms, ML models, designs, text, graphics, and other content, is owned by Shabe AI and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them without any obligation to compensate you. You grant us a perpetual, irrevocable, worldwide license to use such feedback.

7. AI & Machine Learning

Shabe uses AI and machine learning to power its features:

• • AI-generated responses and predictions are provided "as is" and may contain errors
• • You should verify important information before relying on AI outputs
• • We may use aggregated or de-identified data to improve the Service; details appear in our Privacy Policy
• • We partner with OpenAI for natural language processing (subject to OpenAI's terms)
• • AI features are subject to availability and may change over time

You acknowledge that AI systems are not perfect and should be used as a tool to augment human decision-making, not replace it.

8. Third-Party Integrations

Shabe integrates with third-party services (for example HubSpot, Salesforce, Google, and LinkedIn). By connecting these services:

• • You grant Shabe permission to access and sync your data from these platforms within the scopes and permissions you approve
• • You agree to comply with each platform's terms of service
• • You understand that integration features depend on third-party API availability
• • We are not responsible for issues caused by third-party services
• • You can disconnect integrations at any time through your account settings on app.shabe.ai and, for Google, through your Google Account (Security → third-party apps)

8.1 Google APIs

If you connect Google, you authorize Shabe to access the data described in our Privacy Policy subject to the OAuth scopes presented at consent (including read-only Gmail and Calendar where offered). Shabe's use of information received from Google APIs complies with the Google API Services User Data Policy, including the Limited Use requirements. You agree not to use the Service in a way that would cause Shabe to violate Google's policies or your obligations to Google.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHABE AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE.

Our total liability for any claims arising from these terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow limitation of liability for certain damages, so this limitation may not fully apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Shabe AI, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• • Your use or misuse of the Service
• • Your violation of these Terms
• • Your violation of any third-party rights
• • Your Customer Data or content
• • Any negligent or wrongful conduct by you or your team members

13. Dispute Resolution & Governing Law

13.1 Informal Resolution

Before filing a claim, you agree to contact us at info@shabe.ai to attempt to resolve the dispute informally for at least 30 days.

13.2 Arbitration

Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules. Arbitration will be conducted in Delaware, USA, and the arbitrator's decision will be final and binding.

13.3 Class Action Waiver

You agree that any arbitration or proceeding shall be conducted on an individual basis, not as a class action, and you waive your right to participate in a class action lawsuit or class-wide arbitration.

13.4 Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

14. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Shabe AI regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
• No Waiver: Our failure to enforce any right or provision shall not be deemed a waiver.
• Assignment: You may not assign these Terms without our consent. We may assign them without restriction.
• Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
• Notices: Notices to you may be sent via email or through the Service. Notice to us should be sent to info@shabe.ai.
• Survival: Provisions that by their nature should survive termination will survive (including indemnification, limitation of liability, dispute resolution).

15. Changes to These Terms

We may modify these Terms at any time. Material changes will be notified via email or through the Service at least 30 days before they take effect. Your continued use after changes constitutes acceptance. If you don't agree with changes, you must stop using the Service and cancel your account.
